Proposed Rule: Security Ratings

Proposed rule to replace rule and form requirements under the ’33 and ’34 Acts that rely on security ratings (for example, Forms S-3 and F-3 eligibility criteria) with alternative requirements. This is one of a series of releases relating to the use of security ratings by nationally recognized statistical rating organizations in SEC rules and forms; see Related Material for key links.

Proposed Rule: Modernization of the Oil and Gas Reporting Requirements

Proposed revisions to reporting requirements in Regulation S-K and S-X designed to modernize and align oil and gas disclosure with current practices and changes in technology. Proposal would also add and delete several items in Industry Guide 2 in Regulation S-K.

Proposed Rule: Indexed Annuities and Certain Other Insurance Contracts

Proposed new rules would define the terms “annuity contract” and “optional annuity contract” under the ’33 Act and exempt insurance companies from filing reports under the Exchange Act with respect to indexed annuities and other securities under certain conditions.

Proposed Rule: Interactive Data to Improve Financial Reporting

Proposed rules requiring companies to provide financial information to the SEC and on their corporate Web sites in XBRL apply to domestic and foreign public companies that prepare their financial statements in accordance with U.S. GAAP and foreign private issuers using IASB’s IFRS. 

The new rules build on the voluntary program begun in 2005 that allowed companies to submit financial statements on a supplemental basis in interactive format as exhibits to specified SEC filings.
